Terms of Service

hihey places calls at your direction. These Terms make one thing explicit up front: you are responsible for the calls you direct, including the legal rules that apply to them.

1. Agreement to these terms

These Terms of Service (the "Terms") are a binding agreement between you and JJH Digital LLC, a District of Columbia limited liability company operating the hihey.ai service ("hihey", "we", "us"). By creating an account, purchasing call time, or directing hihey to place a call, you agree to these Terms and to our Privacy Policy.

If you do not agree to these Terms, do not use the service.

2. What hihey is

hihey is a tool that places outbound telephone calls at your direction using an AI-generated voice, then reports the result back to you. You choose who is called, when, and for what purpose. hihey supplies the calling infrastructure and the AI agent; it does not choose the recipients or the purpose of any call.

The AI agent is required by hihey's system design to identify itself as an AI assistant on every call. You may not instruct the agent to conceal, deny, or misrepresent that it is an AI, and hihey may refuse or terminate any call attempt that would require it to do so. Because the agent is an automated system, hihey does not guarantee that any particular statement, including the AI disclosure, will be made on any given call (see Sections 6 and 9); responsibility for any disclosure the law requires for a call you direct remains with you.

3. You are the caller: your legal responsibility

Every call placed through hihey is initiated at your direction and on your behalf. For all legal purposes, you are the maker of each call. You are solely responsible for each call you direct, including its recipient, timing, content, and consequences.

You represent and warrant that each call you direct through hihey complies with all laws that apply to you, the call, and the person being called, including without limitation:

  • The Telephone Consumer Protection Act (TCPA) and FCC rules and rulings, including those governing calls made with an artificial or prerecorded voice (which includes AI-generated voices), and any consent those rules require from the person you are calling.
  • Federal and state do-not-call registries and telemarketing rules, including the Telemarketing Sales Rule.
  • State call-recording, wiretap, and monitoring laws, including all-party (two-party) consent laws. hihey processes and transcribes call audio in real time on every call to conduct the conversation and produce your record of it; you are responsible for any consent or legal basis those laws require for that live processing and transcription, and for any additional consent required if you enable an audio recording feature.
  • Laws prohibiting harassment, stalking, threats, fraud, impersonation, and deceptive practices.
  • Any industry-specific rules that apply to your use, such as those governing debt collection, healthcare, or financial services.

Obtaining any consent required from the people you call is your responsibility, not hihey's. Directing hihey to place a call is not, and does not substitute for, the called party's consent.

4. Acceptable use

You may not use hihey to:

  • Place telemarketing, solicitation, or advertising calls of any kind unless you have the prior express written consent of each person called, and you may not use hihey for mass, automated, or campaign calling under any circumstances.
  • Call emergency services (911 or any emergency line), or use hihey for any emergency or time-critical safety purpose.
  • Harass, threaten, intimidate, defraud, or deceive any person, or repeatedly call a person who has asked that the calls stop.
  • Impersonate a specific real person, or direct the agent to claim to be human.
  • Call numbers on any applicable do-not-call registry for any solicitation purpose.
  • Collect debts, provide medical, legal, or financial advice, or conduct any regulated activity that requires a license you do not hold.
  • Violate any law, or attempt to probe, disrupt, or abuse the service, other users, or the telephone network.

We may refuse, interrupt, or terminate any call, and may suspend or terminate your account, if we believe in our sole discretion that a use violates this section. We have no obligation to monitor calls, and any monitoring we do perform does not transfer any of your responsibility to us.

5. Transcripts and recordings

hihey processes call audio in real time and generates transcripts and outcome summaries on every call so you have a record of what happened. You are solely responsible for determining whether that live processing and transcription is lawful for each call you direct and for obtaining any consent it requires under the laws of every relevant jurisdiction, including all-party consent states. Audio recording is separate and off by default; if a recording or monitoring feature is made available and you enable it, you are additionally responsible for the lawfulness of, and any consent required for, that recording.

Transcripts and summaries are produced by automated systems and may contain errors or omissions. Do not rely on them as a verbatim or authoritative record.

6. AI limitations and assumption of risk

hihey's agent is an automated AI system. It can mishear, misspeak, misunderstand, fail to complete a task, report a result inaccurately, fail to follow an instruction (including the instruction to make a particular statement on a call), or behave in unexpected ways. Outcomes are not guaranteed: a reservation the agent believes it made may not exist, a message it believes it delivered may not have been received, and information it reports back may be wrong.

You assume all risk arising from calls placed at your direction and from your reliance on anything the agent says or reports. You are responsible for independently verifying any outcome that matters to you before relying on it.

7. Billing

Paid features are billed through our payment processor, Stripe. Call time is consumed as calls are placed, including calls that reach voicemail, fail to achieve your intended outcome, or are terminated for a violation of these Terms. Except where required by law, purchases are non-refundable.

We may change pricing prospectively at any time. Price changes do not affect call time you have already purchased.

8. Indemnification

You will defend, indemnify, and hold harmless hihey, its owners, operators, affiliates, and service providers from and against any claim, demand, investigation, or proceeding, and all resulting liabilities, damages, penalties, fines, statutory damages, settlements, costs, and reasonable attorneys' fees, arising out of or related to: (a) any call placed at your direction; (b) your violation of these Terms or of any law, including the TCPA, FCC rules, telemarketing rules, or call-recording laws; (c) any absence of consent from a person you directed hihey to call; or (d) your enabling of any recording feature.

This obligation survives termination of your account and applies regardless of the theory of liability asserted against hihey.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, HIHEY DOES NOT WARRANT THAT CALLS WILL CONNECT, THAT THE AGENT WILL PERFORM ANY TASK CORRECTLY, THAT TRANSCRIPTS OR REPORTS WILL BE ACCURATE, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

HIHEY PROVIDES A CALLING TOOL, NOT LEGAL ADVICE. NOTHING IN THE SERVICE, INCLUDING ANY IN-PRODUCT GUIDANCE ABOUT CALLING RULES, IS LEGAL ADVICE, AND YOU MAY NOT RELY ON IT AS SUCH.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) HIHEY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY; (B) HIHEY WILL NOT BE LIABLE FOR ANY STATUTORY DAMAGES, PENALTIES, OR FINES ASSESSED AGAINST YOU ARISING FROM CALLS PLACED AT YOUR DIRECTION; AND (C) HIHEY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF FIFTY U.S. DOLLARS (US$50) OR THE AMOUNTS YOU PAID TO HIHEY IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. In those jurisdictions, hihey's liability is limited to the fullest extent permitted by law.

11. Disputes, arbitration, and class action waiver

Any dispute arising out of or relating to these Terms or the service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. The Federal Arbitration Act governs this section.

YOU AND HIHEY EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. Disputes will be resolved only on an individual basis.

You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms, stating that you opt out of arbitration.

If the class action waiver above is found unenforceable as to a particular claim, that claim, and only that claim, must proceed in court rather than in arbitration, and the waiver and this section continue to apply to all other claims. If any other part of this section, or any other provision of these Terms, is found unenforceable, it will be enforced to the maximum extent permitted and the remainder of these Terms stays in full effect.

12. Governing law

These Terms are governed by the laws of the District of Columbia, without regard to conflict-of-law rules. Subject to the arbitration section above, any proceeding that may be brought in court will be brought exclusively in the courts located in the District of Columbia, and you consent to their jurisdiction.

13. Eligibility, termination, and changes

You must be at least 18 years old and able to form a binding contract to use hihey. You are responsible for all activity under your account.

We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the service. Sections 3, 5, 6, and 7 through 12 survive termination, along with any payment obligations accrued before termination.

We may update these Terms from time to time. The "Last updated" date above reflects the current version, and continued use of the service after changes take effect constitutes acceptance of the updated Terms.
